Grady Ryther
Chief Executive Officer and Director
Mr. Ryther has been the Chief Executive Officer and a director
of Advasa Holdings, Inc. since August 11, 2025.
From September 2022 through August 2025, he founded and managed
Grade-A Tutoring, a private tutoring company specializing in SAT
preparation and advanced subjects. From February 2021 through
May 2023, Mr. Ryther founded and managed Pix-Elation, a creative
retail business integrating digital media and direct-to-consumer
merchandising. From May 2018 through February 2021, he served as
the managing director of ICON Parks Design, a landscape
architecture and community development firm.
Mr. Ryther graduated cum laude from Harvard University with an
A.B. in Physics and a secondary field in Economics in May 2010,
where he distinguished himself academically by earning the
second-highest score in Mechanics and Special Relativity.
He has led business development, client engagement, and
operational oversight in connection with the foregoing
businesses. He has also directed exploratory initiatives in
digital innovation, including blockchain-enabled payment
integration.
Mr. Ryther’s prior work with digital payment systems and
emerging financial technologies provides relevant perspective as
the Company continues to expand its fintech solutions. The Board
of Directors believes that Mr. Ryther is qualified to serve as a
director based on his academic distinction, leadership,
entrepreneurial background, and experience in applying
technology and business strategy to support organizational
growth.
Mr. Ryther does not hold, and has not previously held, any
directorships in any reporting companies.
Sultan Ali Rashed Lootah
(Chairman and Managing Partner of Vault Investments)
Independent Director
Sultan Lootah is the son of Ali Rashid Ahmed Lootah, a
businessman and a prominent member of a respected Dubai business
family. Ali Rashed Lootah is the Vice Chairman of the Board of
Mashreq Bank, Board member of Dubai World, and has been the
Chairman of the Board of Nakheel.
His son, Sultan Lootah is a UAE-based businessman with
experience in public and private sector. Sultan Lootah has
extensive background in emerging markets of Asia such as
Vietnam, Korea, and India and has established a strong network
with prominent business officials.
Sultah Lootah has held key positions across various companies.
From 2003 to 2007, he was the Director of Information Technology
at Department of Economic Development in Dubai. From 2007 to
2013, he was the CEO of Mohammed bin Rashid Al Maktoum
Foundation to lead the Foundation’s initiatives to combat
unemployment in the Arab world.
Sultan Lootah is currently the Chairman and Managing Partner of
Vault Investments, an investment firm founded in 2012 holding a
portfolio of $100 million. Vault investment focuses on
technology, retail, and trading sectors across Vietnam, GCC,
India, Egypt, Europe, and the U.S. Vault Investment currently
has three investment funds - a $100 million Technology Debt
Fund, $100 million Private Equity Fund, and a $5 million Angel
Investments Funds.
In 2018, Sultan Lootah founded Relam Investments in partnership
with MIG Holdings (Vietnam-based investment group) to increase
the geographic scope of investments.
Will Witherspoon
Independent Director
Mr. Witherspoon is a capital-focused operator with end-to-end
experience in sourcing, underwriting, and delivering real
assets. He brings expertise in capital stack design, investor
materials, and governance—bridging developer execution with
fiduciary rigor. He has managed over $300 million in development
projects, structuring debt-equity stacks aligned to target
returns.
Mr. Witherspoon currently serves as Asset Acquisition Manager at
UMcapital, where he is responsible for the confirmation and
validation of in-ground and SKR assets, as well as preparing for
acquisition and investment into targeted assets.
Since 2020, he has served as Principal of Hubert Development in
Atlanta, GA, leading multifamily and commercial projects across
acquisition, pre-development, financing, construction, and
stabilization. In this role, he owns underwriting and capital
structure, lender selection, term negotiation, and draw
administration, while driving entitlement strategy and
stakeholder engagement with municipalities, general contractors,
and design teams.
From 2017, Mr. Witherspoon has also served as Financial
Consultant at Forge Consulting, designing comprehensive trust,
estate, and insurance strategies for high-net-worth clients and
settlement recipients, partnering with attorneys and
fiduciaries.
Prior to his career in private capital, Mr. Witherspoon was a
professional athlete in the National Football League (NFL) from
2002 to 2014, playing for the Carolina Panthers, St. Louis Rams,
Philadelphia Eagles, and Tennessee Titans. He served as Team
Captain and NFLPA Player Representative.
Mr. Witherspoon holds a Master of Business Administration from
George Washington University and a Bachelor of Science in
Housing & Community Development from the University of Georgia.
He also serves as a Board Member of A Greener World, supporting
sustainability and agricultural certification programs.
Ferdinand Groenewald
Independent Director
Mr. Groenewald has served as an independent director and a member of the Audit Committee, Compensation Committee and Nominating and Corporate Governance Committee of Advasa Holdings since June 24, 2026. Mr. Groenewald is a U.S. citizen. Since February 22, 2024, Mr. Groenewald served as Vice President of Finance of Alaunos Therapeutics, Inc., a Nasdaq-listed company, and from June 5, 2024 through March 15, 2026, he served as Chief Financial Officer of Streamex Corp., a Nasdaq-listed company. From July 31, 2022 through December 15, 2023, Mr. Groenewald has served in several capacities at the CFO Squad which provides outsourced accounting and consulting services. From January 2, 2022 to July 31, 2022, Mr. Groenewald had served as the Chief Accounting Officer of Muscle Maker, Inc., a Nasdaq listed company. From September 2018 to January 2, 2022, Mr. Groenewald served as the Chief Financial Officer of Muscle Maker, Inc. From January 25, 2018 through May 29, 2018, Mr. Groenewald served as the Vice President of Finance, Principal Financial Officer and Principal Accounting Officer of Envision Solar International, Inc., a Nasdaq-listed company.
